Terms of Service
Welcome to Third Space Talk LLC (“Third Space,” “Third Space Talk,” “Third Space Talk LLC,” “Company,” “we,” “our,” or “us”). These Terms of Service (“Terms”) govern your use of the Third Space Talk website, services, messaging systems, virtual sessions, memberships, and related offerings (collectively, the “Services”). By accessing or using the Services, you agree to these Terms. If you do not agree, you may not use the Services.

Third Space Talk provides supportive conversational services intended to offer perspective, reflective discussion, communication guidance, and general thought partnership through non-clinical conversation.
Third Space Talk is NOT:
A medical provider
Therapy or psychotherapy
Psychiatric care
Crisis counseling
Emergency support
Legal advice
Financial advice
Or a substitute for licensed professional care
Third Space Talk is not designed to collect health information and users should avoid sharing medical diagnoses, treatment records, prescription information, or other protected health information unless absolutely necessary. Our listeners are not acting as licensed therapists, counselors, psychologists, psychiatrists, attorneys, physicians, or emergency responders through the Services. The Services are intended for conversational support and perspective only.

Does not prescribe medication

The Services are intended solely for individuals who are at least eighteen (18) years of age.By accessing or using the Services, you represent and warrant that you are at least eighteen (18) years old and legally capable of entering into a binding agreement. Third Space Talk does not knowingly provide Services to minors. If Third Space Talk becomes aware that a user is under the age of eighteen (18), Third Space Talk reserves the right to immediately suspend or terminate access to the Services without notice or refund. Parents, guardians, or other third parties may not purchase Services on behalf of a minor without Third Space Talk's prior written approval.

You agree to:
Provide accurate information
Treat listeners respectfully
Maintain appropriate boundaries
Refrain from abusive, threatening, discriminatory, or harassing behavior and use the Services only for lawful purposes
You agree not to:
Impersonate another person
Record sessions without permission
Misuse the platform
Seek emergency services through Third Space Talk
Or attempt to establish personal relationships with listeners outside the platform solicit listeners for outside employment, consulting, coaching, counseling, or competing services
Attempt to obtain personal contact information from listeners outside approved Third Space Talk channels
Use the Services to promote, advertise, market, or sell products, services, or business opportunities
Engage in stalking, harassment, intimidation, or repeated unwanted contact with listeners or Third Space Talk personnel
Circumvent Third Space Talk scheduling, billing, or communication systems
Third Space Talk reserves the right to suspend or terminate access for inappropriate conduct.
4a. No Wiretapping/Recording Prohibitions for Phone Calls and Video Calls
Users are strictly prohibited from recording, duplicating, screenshotting, or streaming any audio or video content obtained or curated from any interaction with Third Space Talk, whether conducted via phone, video link, or chat. Violation of this clause may result in immediate termination of access to services and may be cause for permanent banishment from obtaining or using Third Space Talk services at any future date and time.

Engage in supportive conversation
Offer perspective
Discuss communication strategies
And provide reflective guidance
Listeners may not:
Diagnose
Provide therapy
Provide medical advice
Provide legal advice
Prescribe treatment
Or guarantee outcomes
Third Space Talk reserves the right to redirect users to outside resources if a situation falls outside the scope of the Services.

Third Space Talk may discontinue a session or restrict access to services if:
A user appears to be in crisis
Poses a danger to themselves or others
Or seeks services outside the intended scope of the platform
Third Space Talk may encourage users to contact emergency services or licensed professionals when appropriate. Third Space Talk is not responsible for responding to emergencies or crisis situations. Third Space Talk may also directly contact emergency services or licensed professionals on behalf of the user.

Users will pay all applicable fees associated with their selected services or membership plans at the time of checkout. Subscription plans automatically renew unless canceled at least twenty-four (24) hours prior to the renewal date and can be completed through the customer hub under the “membership” section by navigating to “manage my membership”. Third Space Talk reserves the right to modify pricing, plans, or service offerings at any time with at least thirty (30) days' advance notice for existing subscribers. Missed sessions, session cancellations, and refund eligibility may be governed by separate booking or cancellation policies.

Users may cancel a scheduled session at any time prior to forty-eight (48) hours in advance of their scheduled conversation. Scheduled session cancellation requests may be submitted through the customer hub under “Conversations” and by clicking “Manage Conversation”, or, through the email confirmation a user receives by finding the “cancel” option. Except where required by applicable law or expressly approved by Third Space Talk, all fees paid to Third Space Talk are non-refundable. Third Space Talk reserves the right, at its sole discretion, to provide credits, reschedule sessions, or issue refunds in limited circumstances involving company error, duplicate billing, technical failure preventing service delivery, or other circumstances determined by Third Space Talk in good faith.
8a. Session-by-Session Purchases
Users who purchase individual sessions on a session-by-session basis ("By the
Conversation" users) are not eligible for refunds for:
Missed sessions
Late cancellations
Failure to attend a scheduled session
Partial use of a session; or
Voluntary cancellation after purchase
Any fees collected for session-by-session purchases shall remain the property of Third Space Talk and shall not be refunded.
8b. Monthly Subscription Plans
This section applies to users enrolled in the Essentials Plan or Complete Plan on a month-to-month subscription basis. Subscribers may cancel their subscription at any time at least twenty-four (24) hours prior to the renewal date and can be completed through the customer hub under the “membership” section by navigating to “manage my membership”. If a subscriber cancels a monthly subscription, the subscription shall remain active through the end of the current billing period and will automatically terminate at the conclusion of that billing period. No refunds, credits, or prorated reimbursements shall be provided for any unused portion of a monthly subscription period unless otherwise required by law.
8c. Annual Subscription Plans
This section applies to users enrolled in an annual Essentials Plan or annual Complete Plan. Subscribers may cancel their annual subscription at any time at least twenty-four (24) hours prior to the renewal date and can be completed through the customer hub under the “membership” section by navigating to “manage my membership”. Cancellation of an annual subscription will prevent future renewal but will not terminate access prior to the expiration of the prepaid annual term. The subscriber shall continue to receive subscription benefits through the end of the annual subscription period already paid for. No refunds, credits, or prorated reimbursements shall be provided for unused portions of an annual subscription unless otherwise required by law.
8d. Service Period Rule
A "Service Period" is defined as a one (1) calendar month period beginning on the date
a subscription purchase is successfully completed. Each subsequent Service Period
begins on the corresponding monthly anniversary of the original purchase date and
continues until the subscription is cancelled in accordance with these Terms.
Subscribers may cancel subscriptions at any time at least twenty-four (24) hours before the next renewal through the customer hub under the “membership” section by navigating to “manage my membership”. “Sessions” or “Conversations” may be referred to as “Conversation Credits” or “Credits”. A conversation credit may only be used for a conversation occurring within the active Service Period in which the credit exists. Complete Plan subscriber rollover credits remain valid only during the immediately following Service Period and expire at the end of that period.
8e. Automatic Renewal
All subscriptions will automatically renew at the conclusion of the applicable subscription term unless canceled at least twenty-four (24) hours before the renewal date. It is the subscriber's responsibility to cancel a subscription before the next renewal date if the subscriber does not wish to continue receiving services. By enrolling in a subscription plan, the subscriber authorizes Third Space Talk to charge the applicable subscription fee upon renewal using the payment method on file.
8f. Cancellation After Renewal
If a subscriber submits a cancellation request after a subscription has automatically renewed, the cancellation shall apply to future billing periods only. For monthly subscriptions, cancellation shall become effective at the conclusion of the renewed monthly billing period. For annual subscriptions, cancellation shall become effective at the conclusion of the renewed annual billing period. Fees charged following an automatic renewal are non-refundable except where required by law or expressly approved by Third Space Talk.
8g. Company-Initiated Cancellations
Third Space Talk reserves the right to suspend, reschedule, cancel, or terminate services in accordance with these Terms of Service. If Third Space Talk cancels a session due to listener unavailability, technical issues, scheduling conflicts, or other Company-related reasons, Third Space Talk may, at its discretion:
Reschedule the session;
Provide a service credit; or
Issue a refund.
Third Space Talk's decision regarding the appropriate remedy shall be final.
8h. Chargebacks and Payment Disputes
Users agree to contact Third Space Talk directly regarding billing concerns before initiating a chargeback or payment dispute. Third Space Talk reserves the right to suspend or terminate services while a chargeback or payment dispute is pending. Any chargeback determined to be fraudulent or submitted in bad faith may result in immediate termination of access to Third Space Talk services. To the fullest extent permitted by applicable law, a payment dispute, chargeback, or reversal initiated through a financial institution does not relieve the Customer of their obligation to pay for Services validly purchased and provided under these Terms. Third Space Talk reserves the right to pursue collection of any amounts lawfully owed, regardless of the outcome of any chargeback or payment dispute.
8i. Change of Subscription Plan Type
Users are not permitted to change subscription plan types during an applicable Service Period. If a user would like to upgrade or downgrade their subscription plan type during an active service period, or an active ongoing subscription, the user will need to reach out via email to support@thirdspacetalk.com.

Third Space Talk values user privacy and strives to maintain confidential conversations. However, users acknowledge that confidentiality cannot be guaranteed by Third Space Talk in all circumstances, including but not limited to:
Legal obligations
Safety concerns
Platform limitations
Or unauthorized third-party access
Use of the Services is also governed by our Privacy Policy. Third Space Talk is not responsible for users sharing highly sensitive personal, medical, financial, or legal information through the platform.

All website content, branding, graphics, text, materials, and platform features are the sole property of Third Space Talk or its licensors and may not be copied, distributed, or reproduced without written permission.
10a. Session Records, Notes, and Recordings
Third Space Talk may maintain limited operational records regarding use of the Services, including scheduling information, session attendance, subscription usage, intake forms, customer service communications, and other business records. Unless expressly stated otherwise in writing, users shall retain ownership of information they voluntarily provide during conversations. Third Space Talk retains sole ownership of: (a) Third Space Talk-created forms, templates, processes, materials, and documentation;(b) listener notes created for operational, quality assurance, safety, compliance, or administrative purposes; and (c) all website content, branding, graphics, logos, software, and platform materials. Users may not record, reproduce, distribute, publish, or commercially exploit any session without the express written consent of all participants. Third Space Talk similarly reserves the right to prohibit recording of sessions by users unless expressly authorized in writing.

The Services are provided “as is” and “as available.” Third Space Talk makes no guarantees regarding:
Outcomes
Privacy
Emotional improvement
Relationship success
Workplace outcomes or
User satisfaction
We do not warrant uninterrupted or error-free access to the Services.

Third Space Talk utilizes listeners, conversation partners, and other personnel to facilitate discussions with users. While Third Space Talk expects all listeners to act professionally, respectfully, and in accordance with Third Space Talk policies, Third Space Talk cannot guarantee the actions, statements, opinions, or conduct of any individual listener. Users acknowledge that listeners are not therapists, counselors, psychologists, social workers, physicians, attorneys, financial advisors, or licensed professionals acting within a professional-client relationship. To the fullest extent permitted by law, users agree that any claim arising from the conduct, opinions, statements, recommendations, or actions of a listener shall be subject to the limitations of liability set forth in these Terms. Users are encouraged to discontinue any conversation that causes discomfort and to report concerns directly to Third Space Talk in writing by contacting support@thirdspacetalk.com.
12a. Limitation of Liability
TO THE FULLEST EXTENT PERMITTED BY LAW, Third Space Talk, ITS OWNERS, MEMBERS, MANAGERS, EMPLOYEES, CONTRACTORS, LISTENERS, AGENTS, AFFILIATES, AND REPRESENTATIVES SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL, EXEMPLARY, OR PUNITIVE DAMAGES ARISING OUT OF OR RELATING TO THE SERVICES. TO THE FULLEST EXTENT PERMITTED BY LAW, THE TOTAL AGGREGATE LIABILITY OF Third Space Talk FOR ANY CLAIM ARISING OUT OF OR RELATING TO THE SERVICES SHALL NOT EXCEED THE GREATER OF: (A) THE TOTAL AMOUNT PAID BY THE USER TO Third Space Talk DURING THE SIX (6) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM; OR (B) ONE HUNDRED DOLLARS ($100.00). THE FOREGOING LIMITATIONS SHALL APPLY REGARDLESS OF THE LEGAL THEORY ASSERTED AND EVEN IF Third Space Talk HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

You agree to defend, indemnify, and hold harmless Third Space Talk, its owners, members, managers, employees, contractors, listeners, affiliates, successors, and assigns from and against any and all claims, demands, actions, liabilities, damages, judgments, settlements, losses, costs, and expenses, including reasonable attorneys' fees, arising out of or relating to:
Your use of the Services
Your violation of these Terms
Your violation of any law, regulation, or third-party right information, content, statements, or materials provided by you any third-party claim arising from your conduct, actions, communications, or misuse of the Services

Third Space Talk reserves the right to:
Modify Services
Suspend access
Discontinue offerings or update these Terms at any time
Continued use of the Services after updates constitutes acceptance of revised Terms.
14a. Suspension and Termination
Third Space Talk reserves the right, in its sole discretion, to suspend, restrict, or terminate a user's account or access to the Services for any of the following reasons:
Violation of these Terms Abuse, harassment, discrimination, threats, or inappropriate conduct toward listeners, employees, contractors, or other users
Misuse of the Services
Fraudulent activity
Chargeback abuse
Repeated scheduling violations
Conduct creating safety concerns; or Activity that Third Space Talk reasonably determines may expose Third Space Talk, its listeners, or other users to legal, financial, operational, or reputational risk.
Termination of access shall not automatically entitle the user to a refund or credit unless otherwise required by law.

These Terms shall be governed by and construed in accordance with the laws of the State of Minnesota, without regard to conflict-of-law principles. Any legal action against Third Space Talk arising from or relating to these Terms shall be brought exclusively in the state or federal courts located within Minnesota, and each party consents to the jurisdiction of such courts. To the fullest extent permitted by law, users waive any right to participate in a class action or representative proceeding against Third Space Talk.
15a. Force Majeure
Third Space Talk shall not be liable for any delay, interruption, failure, or inability to perform arising from causes beyond its reasonable control, including but not limited to natural disasters, acts of God, internet outages, telecommunications failures, cyberattacks, labor disputes, government actions, pandemics, public health emergencies, utility failures, or failures of third-party service providers.
15b. Severability
If any provision of these Terms is determined to be invalid, illegal, or unenforceable, the remaining provisions shall remain in full force and effect.
15c. Entire Agreement
These Terms, together with the Privacy Policy and any policies expressly incorporated by reference, constitute the entire agreement between the user and Third Space Talk regarding the Services and supersede all prior understandings or agreements relating to the Services.
15d. No Waiver
The failure of Third Space Talk to enforce any provision of these Terms shall not constitute a waiver of that provision or any other provision.
15e. Survival
The provisions relating to intellectual property, limitation of liability, indemnification, dispute resolution, payment obligations, confidentiality, and any provisions which by their nature should survive termination shall survive termination of these Terms.
